1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of the OrbitCFO.AI platform (the "Service"), operated by OrbitCFO.AI Ltd ("we", "us", "our"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility and authority
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that organisation.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information and keep it updated. Notify us immediately of any unauthorised use.
4. Acceptable use
You agree not to misuse the Service. Prohibited conduct includes:
- Using the Service for any unlawful purpose or in violation of applicable laws.
- Uploading or transmitting viruses, malware, or other harmful code.
- Attempting to probe, scan, or test the vulnerability of our systems.
- Scraping, data mining, or using automated means to access the Service without authorisation.
- Infringing intellectual property rights or the rights of others.
- Using AI-generated outputs for illegal content, deepfakes, hate speech, or malware creation.
- Attempting to bypass or circumvent technical limits or usage restrictions.
5. Intellectual property
OrbitCFO.AI Ltd retains all ownership and intellectual property rights in and to the Service, including all software, documentation, algorithms, and branding. We grant you a limited, non-exclusive, non-transferable licence to use the Service within the scope of your selected plan.
You retain ownership of your data. By using the Service, you grant us a limited licence to host, process, and analyse your data solely for the purpose of providing the Service to you.
6. AI-generated outputs
OrbitCFO.AI uses artificial intelligence to generate financial insights, reports, and recommendations. You are responsible for reviewing and verifying the accuracy of AI outputs before relying on them for business or regulatory decisions. Outputs may not always be accurate or complete and should not replace professional financial or legal advice.
7. Payment, billing, and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Subscription fees are billed in advance according to your selected billing cycle (monthly or annual). Taxes are calculated and collected by Paddle where applicable. For full details on payment, billing, tax, cancellation, and refund mechanics, please refer to Paddle's Buyer Terms.
8. Subscription changes
Upgrades take effect immediately and are prorated. Downgrades take effect at the end of your current billing period. You may cancel your subscription at any time; access continues until the end of the paid period.
9. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, pose a security or fraud risk, or repeatedly violate our policies. Upon termination, your right to use the Service ceases immediately.
10. Service level
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We strive to maintain high availability but reserve the right to suspend access for maintenance, updates, or other operational needs.
11. Warranties and disclaimers
The Service is provided "as is" without warranties of any kind, either express or implied, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability shall be limited to the total fees paid by you in the 12 months preceding the claim. We shall not be liable for any indirect, consequential, or special damages, including loss of profits, data, or goodwill, except where liability cannot be excluded by law.
13. Indemnity
You agree to indemnify and hold harmless OrbitCFO.AI Ltd and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your data, or your violation of these Terms.
14. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Service after changes constitutes acceptance.
